Acceptance of Terms

This website (the “Site”), located at kchi.com, is operated by Leatherman Communications, Inc., doing business as KCHI Radio. By accessing or using the Site, you acknowledge that you have read and agree to be bound by these Terms and Conditions in their entirety. If you do not agree with any of these terms, please do not use the Site.

We reserve the right to modify or update these Terms at any time. Changes will become effective when posted on this page. It is your responsibility to review the Terms periodically. Your continued use of the Site after any updates are posted will constitute your acceptance of those changes.

Intellectual Property and Permitted Use

All content on this Site – including (but not limited to) text, news articles, audio streams, podcasts, images, logos, and graphics – is the property of KCHI Radio (Leatherman Communications, Inc.) or its content providers and is protected by copyright and other intellectual property laws. KCHI and its licensors retain all rights, title, and interest in the Site’s content; nothing in these Terms transfers any ownership or intellectual property rights to you. The KCHI name and logo are trademarks of KCHI/Leatherman Communications, Inc., and you are not granted any license to use them.

You are authorized to use the Site and its content only for personal, non-commercial purposes, and only as expressly permitted below. Any other use is prohibited. In particular, when using our Site and content, you agree to the following:

• Personal Use Only: You may access, stream, and view the content on this Site (including the live radio stream) solely for your personal, non-commercial enjoyment. The content is provided for individual listeners and readers; any commercial use or public performance of our content requires prior written permission.
  
  
• No Unauthorized Copying or Distribution: You may not copy, download, record, reproduce, republish, upload, post, transmit, or distribute any content from the Site without express prior written consent from KCHI. In particular, you are strictly prohibited from creating permanent copies of our audio streams or rebroadcasting any KCHI radio programming (or other Site content) without permission. The only exception is that you may temporarily download or cache materials on your personal device for your own private use, provided you do not remove or alter any copyright notices or other proprietary labels on the content.
  
  
• No Alterations or Derivatives: You may not modify the content or create any derivative works based on any content from our Site. You also may not display our content on any other website or platform (for example, by framing our webpages or embedding our audio stream on another site) without our express consent.
  
  
• Use at Your Own Risk: Use of the Site and its content is at your own risk. You are responsible for ensuring that your use of the Site is in compliance with these Terms and with all applicable laws and regulations.
  
  

Any unauthorized use of the Site or its content may result in termination of your permission to use this Site (see Termination below) and could violate copyright or other laws. KCHI will enforce its intellectual property rights to the full extent of the law.

User Submissions and Content Guidelines

The Site may allow users to submit or publish content in certain areas – for example, posting classified listings on a “Trading Post,” commenting on news articles, submitting community events, or participating in contests. If you choose to submit any content or material to the Site (including text, images, audio, or other data), you agree to follow these rules:

• Lawful and Respectful Content: All user-submitted content must be appropriate and lawful. You must not post or transmit any content that is illegal, fraudulent, defamatory (libelous), harassing, threatening, or invasive of privacy; nor any content that is obscene, pornographic, profane, vulgar, contains profanity or hate speech, incites violence, or is otherwise objectionable. In short, your submissions should not violate any law or regulation, or any right of any other person, and should adhere to generally acceptable standards of civility and respect.
  
  
• No Illegal or Prohibited Items: In using any public forum or “Trading Post” feature, you agree not to offer for sale or trade any items that are illegal to sell, possess, or distribute. This includes (but is not limited to) controlled substances, illegal drugs or paraphernalia, firearms or other weapons that cannot be legally sold, stolen property, or any other contraband. You also agree not to use the Site to facilitate or promote any unlawful transaction or activity. KCHI reserves the right to refuse or remove any listing that, in our judgment, violates this rule or is otherwise inappropriate.
  
  
• No Unapproved Commercial Promotion: The Site’s community features are intended for personal, non-commercial use by individual listeners. You will not use these features to advertise or promote a business, product, or service unless you have prior authorization from KCHI. (For example, you should not post your business’s services or a commercial ad in the free Trading Post. Businesses wishing to advertise on KCHI should do so through our official advertising channels.) Similarly, you must not post content that is essentially spam, junk mail, chain letters, or unsolicited mass marketing.
  
  
• No Spam or Disruption: You agree not to flood or disrupt the Site with repetitive or irrelevant submissions. Do not post the same message or listing multiple times, and do not engage in any conduct that would impede other users from comfortably using the Site (such as posting off-topic material in a forum, “spamming” identical comments, or deliberately interfering with the flow of dialogue).
  
  
• Minimum Age: You must be at least 13 years old to submit content to or participate in interactive features of this Site. By contributing any content, you confirm that you are 13 or older (or, if under 13, that you are using our Site only with the involvement and consent of a parent or guardian). If you are under 13, do not send any personal information or content to us. (This age restriction is in compliance with U.S. online privacy laws.)
  
  
• Your Content, Your Responsibility: You are solely responsible for all content that you submit. Before posting, you must ensure you have all necessary rights to the material. In particular, you represent and warrant that: (a) the content is your original work or you have obtained all permissions/licenses needed to submit it; and (b) your content does not infringe or violate the copyright, trademark, trade secret, privacy, publicity, or other personal or proprietary rights of any third party. You also agree that your content will not contain any viruses, malware, or other harmful code.
  
  
• License to KCHI: By submitting or posting content on the Site, you grant KCHI Radio a royalty-free, perpetual, worldwide, sublicensable, non-exclusive license to use, reproduce, edit, adapt, publish, translate, transmit, broadcast, distribute, publicly perform, and publicly display your submitted content (in whole or in part) on the Site, on our radio station, and in other media formats now known or later developed. This license to KCHI also includes the right for us to create derivative works from your content or incorporate your content into other works, and to allow our partners or affiliates to do the same in connection with providing KCHI-related services. In plain terms: you still own any content you create and submit, but you give us permission to use it in order to operate and promote our services (for example, to post it on our website, read it on-air, or share it on social media). This license remains in effect even if you later remove or delete your content from the Site. You also agree that KCHI has the right to modify, refuse, or remove any user content if we find it necessary (see Moderation below).
  
  
• Moderation and Removal: KCHI reserves the right (but has no obligation) to monitor user-submitted content and to edit or remove any content, at any time and for any reason, at our sole discretion. We may remove content that we believe violates these Terms or is otherwise inappropriate, and we can do so without notifying you. We also reserve the right to suspend or terminate your ability to submit content if you violate these Terms. KCHI’s decisions on moderation are final. Please note that KCHI is under no obligation to actively monitor all user content; however, we will respond to violations that come to our attention.
  
  
• No Endorsement or Verification: Content submitted by users (including Trading Post listings, comments, etc.) is provided by the individual users not by KCHI. KCHI does not endorse, guarantee, or pre-approve any user-generated content. We assume no responsibility or liability for anything that users post on the Site, including the truthfulness, accuracy, or legality of any statements or offers made. For instance, KCHI is not responsible if a user posts false information, makes a fraudulent offer, or includes a typo such as a wrong phone number. Due to the nature of public forums and the internet, we cannot guarantee that information posted by users is reliable or safe. Use caution and your best judgment when acting on information or offers found in user content. Any transactions or interactions that you undertake with other users (for example, buying or selling an item through a Trading Post listing) are strictly between you and the other party – KCHI is not involved in those dealings and will not be liable for any loss or dispute that arises from them. (We likewise assume no liability for any misuse, fraud, “phishing,” or illegal activity that might occur due to user postings.) If you encounter content that you believe violates these guidelines or is otherwise problematic, please contact us as described below under Contact Information.
  
  

Third-Party Links and Advertisements

Our Site contains links to or integrations with third-party websites, services, and content. For example:

• We provide an embedded live streaming player (from Aiir) to allow you to listen to KCHI online.
  
  
• Our articles or pages may include links to external sites (such as news sources or sponsors like Missouri Net).
  
  
• We display advertisements and promotions for third-party products or services (i.e. Big Deals, local sponsors, etc).
  
  

Please be aware that when you access third-party websites or content (whether by clicking a link or through an embedded player/frame), you are leaving KCHI’s site and are interacting with external entities that are not controlled by KCHI. These links are provided for your convenience, but KCHI does not endorse and is not responsible for the content, products, services, or practices of any third-party websites or services. We make no warranties or representations about the accuracy, relevance, or quality of information contained on any third-party site. Visiting or using third-party sites is at your own risk: when you leave our Site, you should read and abide by the terms and policies of the third-party site you are visiting.

Specifically, if you use the embedded radio stream player (operated by a third-party provider) or follow a link to another website, note that different terms of use and privacy policies may apply. KCHI is not responsible for any issues arising from your use of third-party platforms, including but not limited to data breaches, outages, or content errors on those platforms.

Advertisements: KCHI may display paid advertisements or sponsorships on the Site. Any such advertisements are provided by third parties (advertisers). Just because an advertisement for a product or service appears on our Site does not mean that KCHI endorses or recommends it. We do not guarantee any claims made in ads, and we are not responsible for the content of advertisements or any inaccuracies or omissions in such content. For example, if an advertiser makes a claim about a product, you should verify it with them or other sources; KCHI is not liable for any potential misinformation.

Any transactions or dealings between you and an advertiser (or any third party) found on our Site are solely between you and that party. This includes, for instance, if you click on an ad and purchase a product or if you participate in a promotion offered by an advertiser. KCHI is not a party to those transactions and will not be responsible for any loss or damage that you may incur in connection with such dealings. You agree that KCHI shall not be liable for any costs or damages arising from your interactions with advertisers or third-party vendors on our Site.

In summary, use of third-party links, services, and ads is at your own discretion and risk, and you should direct any questions or complaints about those third-party materials to the respective third-party (such as the site owner or advertiser in question).

Disclaimer of Warranties

KCHI provides this Site and all content and functionality on an “as is” and “as available” basis, without any warranty of any kind, express or implied, except as expressly stated otherwise. To the fullest extent permitted by law, KCHI disclaims all warranties – express, implied, or statutory – regarding the Site and its content. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not guarantee that the Site (or any content, including our live audio stream) will be uninterrupted, error-free, or secure. We do not guarantee that any information provided on the Site is complete, accurate, or timely. While we strive for accuracy in our news and information, mistakes or delays can occur, and KCHI makes no warranty as to the reliability or accuracy of any content on the Site. We also cannot promise that the Site or server is free of viruses or other harmful components, though we take reasonable steps to secure our systems.

You expressly agree that your use of the Site is at your sole risk. Any material downloaded or otherwise obtained through the Site is accessed at your own discretion, and you will be responsible for any damage to your device or loss of data that results from obtaining any such material.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you. In such case, any warranties required by law are limited in duration to 30 days from the date of your first use of the Site.

Limitation of Liability

To the extent permitted by applicable law, KCHI Radio (Leatherman Communications, Inc.) and its owners, directors, officers, employees, agents, affiliates, and licensors shall not be liable for any damages of any kind arising out of or related to your use of (or inability to use) this Site or the content on it. This limitation of liability covers all types of damages or losses, including but not limited to:

• Direct damages, indirect or consequential damages, and any incidental, special, or punitive damages.

• Personal injury or property damage resulting from using the Site.

This means that under no circumstances will KCHI be responsible to you or any third party for any of the above-mentioned damages or losses, even if we have been advised of the possibility of such damages. For example, KCHI is not liable if information on our Site turns out to be incorrect or if the Site is unavailable for an extended period; your sole remedy in such cases is to stop using the Site.

In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability will be limited to the maximum extent permitted by law. However, nothing in these Terms is intended to exclude or limit any liability that cannot be excluded under law (for example, certain liabilities under applicable product liability law or instances of willful misconduct).

You acknowledge that KCHI is making the Site available to you in reliance on the disclaimers of warranty and the limitations of liability set forth in these Terms, and that these provisions form an essential basis of our agreement. You agree that these disclaimers and limitations will apply to the maximum extent permitted by applicable law, even if any limited remedy fails of its essential purpose.

Indemnification

You agree to indemnify, defend, and hold harmless KCHI Radio (Leatherman Communications, Inc.), its parent company, affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) that arise out of or relate to (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any law or the rights of any third party.

In other words, if your conduct or content causes KCHI to be sued or incur any type of loss, you will be responsible for the costs. For example, if you post content that infringes someone’s copyright and they bring a claim against KCHI, you agree to cover any judgment or legal fees that KCHI has to pay as a result (assuming such obligation does not violate applicable law). KCHI reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and you agree to cooperate with KCHI’s defense of such claims.

This indemnity obligation will survive any termination of your use of the Site or these Terms.

Termination

KCHI reserves the right to suspend, restrict, or terminate your access to all or any part of the Site at any time and without prior notice, if, in our sole discretion, we determine that you have violated these Terms or otherwise engaged in conduct that we deem inappropriate or harmful to the Site or others.

Because the Site is provided as a free service to the public, we also reserve the right to discontinue or modify any aspect of the Site (or the entire Site) at any time. We may disable the Site or any feature for maintenance or for any other reason without liability.

If your access is terminated or suspended, you must abide by any limitations we place on your use of the Site (for example, you may be barred from re-registering or accessing certain services). If you believe your access was terminated in error, you may contact us (see below), but we are under no obligation to reinstate access.

Governing Law and Dispute Resolution

These Terms and Conditions, and any dispute arising out of or relating to the Site, will be governed by and construed in accordance with the laws of the State of Missouri, USA, without regard to its conflict of laws principles.

You agree that any legal action or proceeding concerning these Terms or the Site shall be brought exclusively in the state or federal courts located in the State of Missouri. You hereby consent to the personal jurisdiction of such courts and waive any objections (such as objections based on inconvenient forum) to the exercise of jurisdiction by those courts.

If you are accessing the Site from a location outside of Missouri or the United States, you are still responsible for complying with all local laws. However, by using this Site, you agree that Missouri law will govern any disputes related to the Site.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision in that or any other instance.
